Please read these Terms and Conditions carefully before using Finaap. By accessing or using our platform, you agree to be bound by these terms. If you do not agree to all of these terms, do not use our services.

1. Introduction and Acceptance

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "you", "your") and Finaap ("Company", "we", "us", "our") governing your access to and use of the Finaap financial wellness platform, including any associated websites, mobile applications, and services (collectively, the "Service").

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional terms and policies referenced herein.

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Service. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.

2. Eligibility

To use the Service, you must:

  • Be at least 18 years of age
  • Be a resident of the United Kingdom
  • Have the legal capacity to enter into binding contracts
  • Not be prohibited from using the Service under applicable laws
  • Provide accurate, current, and complete registration information

Finaap is a financial wellness platform that provides tools and features to help you:

  • Track income and expenses
  • Manage and monitor debts
  • Create and maintain budgets
  • Connect to HMRC for Making Tax Digital (MTD) compliance
  • Generate financial reports and insights
  • Access credit reporting features
  • Find debt advice resources

Important: Finaap is a software tool for financial tracking and organisation. We are NOT a financial adviser, tax adviser, or debt counselling service. Our Service does not constitute financial, tax, legal, or investment advice. Always consult qualified professionals for personalised advice.

4. Account Registration and Security

4.1 Account Creation

To access certain features, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.

4.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorised access or security breach
  • Ensuring your account is used only by you

4.3 Account Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or any other reason at our sole discretion, with or without notice.

5. HMRC Integration and Making Tax Digital

5.1 Third-Party Service

Our HMRC integration connects to HM Revenue & Customs systems through their official APIs. By using this feature, you authorise us to access your tax information on your behalf through the Government Gateway authentication system.

5.2 Your Responsibilities

  • You remain solely responsible for the accuracy of all tax submissions to HMRC
  • You must review all data before submission
  • You are responsible for meeting all HMRC deadlines
  • Finaap is not liable for any penalties, interest, or other consequences arising from incorrect or late submissions

5.3 No Tax Advice

Tax calculations and estimates provided through the Service are for informational purposes only. They do not constitute tax advice. Consult a qualified tax professional for advice specific to your circumstances.

6. Subscriptions and Payments

6.1 Subscription Plans

Certain features of the Service require a paid subscription. Subscription plans, pricing, and features are described on our website and may change from time to time.

6.2 Payment Terms

  • Payments are processed through Stripe, a third-party payment processor
  • Subscriptions are billed in advance on a recurring basis (monthly or annually)
  • All fees are quoted in British Pounds Sterling (GBP) and include VAT where applicable
  • You authorise us to charge your payment method for all fees incurred

6.3 Cancellation and Refunds

  • You may cancel your subscription at any time through your account settings
  • Cancellation takes effect at the end of the current billing period
  • No refunds are provided for partial billing periods except as required by law
  • You have a 14-day cooling-off period from the date of purchase for a full refund if you have not used the premium features

6.4 Price Changes

We may change subscription prices with 30 days' notice. Price changes will not affect your current subscription period.

7. User Conduct and Prohibited Activities

You agree NOT to:

  • Use the Service for any unlawful purpose or in violation of any laws
  • Provide false, misleading, or fraudulent information
  • Attempt to gain unauthorised access to any part of the Service
  • Interfere with or disrupt the Service or servers
  • Use automated systems (bots, scrapers) to access the Service
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service to transmit malware or harmful code
  • Impersonate any person or entity
  • Use the Service for money laundering or terrorist financing
  • Share your account credentials with third parties
  • Use the Service in any way that could damage our reputation

8. Intellectual Property Rights

8.1 Our Property

The Service, including all content, features, functionality, software, designs, text, graphics, logos, and trademarks, is owned by Finaap and protected by copyright, trademark, and other intellectual property laws.

8.2 Limited Licence

We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for your personal, non-commercial purposes in accordance with these Terms.

8.3 Your Content

You retain ownership of any data or content you submit to the Service. By submitting content, you grant us a licence to use, store, and process it solely for the purpose of providing the Service to you.

9. Third-Party Services and Links

The Service may integrate with or contain links to third-party services, including:

  • HMRC (Government Gateway)
  • Stripe (payment processing)
  • Credit reference agencies
  • Zapier (automation services)
  • External debt advice resources

We are not responsible for the content, privacy practices, or availability of third-party services. Your use of such services is governed by their respective terms and policies.

10. Disclaimers

No Financial Advice

THE SERVICE IS PROVIDED FOR INFORMATIONAL AND ORGANISATIONAL PURPOSES ONLY. NOTHING IN THE SERVICE CONSTITUTES FINANCIAL, TAX, LEGAL, OR INVESTMENT ADVICE. WE ARE NOT AUTHORISED OR REGULATED BY THE FINANCIAL CONDUCT AUTHORITY (FCA) TO PROVIDE FINANCIAL ADVICE. ALWAYS SEEK ADVICE FROM QUALIFIED PROFESSIONALS.

10.1 "As Is" Basis

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10.2 No Guarantee

We do not guarantee that the Service will be uninterrupted, error-free, secure, or free from viruses or other harmful components. We do not guarantee the accuracy, completeness, or usefulness of any information provided through the Service.

11. Limitation of Liability

11.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FINAAP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, REVENUE, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

11.2 Maximum Liability

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED POUNDS STERLING (£100).

11.3 Exceptions

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Finaap and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable laws; or (d) your violation of any third-party rights.

13. Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

By using the Service, you consent to our data practices as described in the Privacy Policy and confirm that all data you provide is accurate and lawfully obtained.

14. Termination

14.1 Termination by You

You may terminate your account at any time by contacting us or using the account deletion feature in your settings.

14.2 Termination by Us

We may terminate or suspend your account immediately, without prior notice, for any reason, including breach of these Terms.

14.3 Effect of Termination

Upon termination: (a) your right to use the Service ceases immediately; (b) we may delete your account and data (subject to our data retention obligations); (c) provisions that by their nature should survive termination shall survive.

15. Governing Law and Dispute Resolution

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.

15.2 Jurisdiction

Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

15.3 Alternative Dispute Resolution

Before initiating legal proceedings, you agree to first contact us to attempt to resolve the dispute informally. If we cannot resolve the dispute within 30 days, either party may pursue formal legal remedies.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Finaap regarding the Service.

16.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16.3 Waiver

Our failure to enforce any provision of these Terms shall not be deemed a waiver of that provision or any other provision.

16.4 Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

16.5 Force Majeure

We shall not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including natural disasters, acts of government, pandemics, or infrastructure failures.

17. Consumer Rights

Nothing in these Terms affects your statutory rights as a consumer under the Consumer Rights Act 2015 or other applicable UK consumer protection laws.
